• Vehicle servicing and predictive maintenance tools;

• Associated digital and mobile services through partner integrations.

Use of the Platform may also include third‑party content or APIs governed by their own terms.

3. Eligibility

You must be at least 18 years of age and legally capable of entering binding contracts to use the Platform. Corporate users represent that they possess full authority to act on behalf of their organizations.

4. Account Registration

To access certain services, you may be required to create an account by providing accurate and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

FLÜD may suspend or terminate your account for misuse, inaccurate information, or suspected fraudulent activity.

5. Service Use and Responsibilities

Users agree to:

• Use the Platform solely for lawful purposes;
• Avoid interference with system functionality or other users' operations;
• Refrain from reverse engineering or exploiting the system for unauthorized use;
• Provide complete and truthful data in all transactions.

6. Orders, Payments & Delivery

• All orders placed through the Platform constitute offers to purchase goods or services.
• Prices, product availability, and delivery timelines may vary by region.
• Payments are processed through secure gateways integrated into the Platform; by using them, you agree to applicable processing terms.
• FLÜD reserves the right to cancel or reject transactions for technical, regulatory, or safety reasons.
• Delivery timelines are estimates; delays caused by unforeseen events shall not constitute breach.

7. Intellectual Property

All content, software, trademarks, designs, data, and logos on the Platform are owned or licensed by FLÜD Energies Limited. No rights are granted to Users except for limited, non‑exclusive, revocable access for personal or authorized business use.

Unauthorized reproduction, copying, or redistribution is prohibited.

8. User‑Generated Content

If you upload or submit content (reviews, feedback, photos, etc.), you grant FLÜD a non‑exclusive, royalty‑free, worldwide license to use such content for marketing, platform improvement, or service delivery, provided it aligns with privacy and data laws.

9. Third‑Party Links and Services

The Platform may include links or integrations with external sites or service providers. FLÜD is not responsible for the content, data handling, or business practices of third parties. Users are encouraged to review their policies independently.

10. Limitation of Liability

• Delays or failures outside FLÜD's reasonable control.

11. Indemnity

You agree to indemnify and hold harmless FLÜD, its directors, employees, and partners from any claims, damages, or expenses (including legal fees) arising from your misuse of the Platform or breach of these Terms.

12. Suspension and Termination

FLÜD may suspend or terminate services at its discretion, including for:

• Violation of these Terms;
• Security or legal compliance risks;
• Non‑payment or misuse of systems.

Termination does not affect any accrued rights or obligations.

13. Data Protection and Privacy

Your personal information is processed according to our Privacy Policy (below), consistent with the Nigeria Data Protection Regulation (NDPR) and General Data Protection Regulation (GDPR) standards.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved amicably or through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.
